Terms & Conditions

Welcome to Vynce Digital. These Terms & Conditions outline how we work together, what you can expect from us, and what we expect from you. We’ve written this to be clear and practical while still protecting both parties legally.

1. Starting a Project (Engagement & Scope)

Every engagement begins with clarity.

Agreement: Our working relationship officially starts when an Order Form, Proposal, or Statement of Work (SOW) is signed or accepted. This document defines:

  • Scope of services (SEO, paid ads, development, etc.)
  • Deliverables
  • Timelines
  • Pricing

Commercial Use Only: All services provided by Vynce Digital are strictly for business and commercial purposes.

2. Intellectual Property (Ownership Rights)

We believe in clear ownership boundaries.

2.1 Our Pre-existing Assets

We retain full ownership of proprietary tools, internal frameworks, methodologies, AI models, automation systems, and backend infrastructure.

2.2 Client Materials

You grant us a non-exclusive, worldwide license to use your logos, branding, content, and trademarks strictly for delivering our services.

2.3 Final Deliverables

Upon full and final payment, ownership of final creative assets (e.g., ad creatives, graphics, content) transfers to you.

2.4 Source Code & Development

For custom-built websites or software, you receive a perpetual, non-exclusive license to use the code. We retain ownership of the underlying architecture, reusable components, and frameworks.

3. Payment Terms

3.1 Billing

Services such as SEO, marketing, and retainers are billed monthly in advance unless otherwise agreed.

3.2 Ad Spend

Advertising budgets (Google Ads, Meta Ads, etc.) are separate and must be paid directly by you to the respective platforms.

3.3 Late Payments & Suspension Policy

If payment is not received, we will issue up to three (3) payment reminders within a 5-day grace period. These notifications serve as formal warnings.

If payment remains unpaid after 5 days, we reserve the right to pause all services, including campaigns, hosting, and support access.

3.4 Pricing Changes

We may revise pricing with a minimum of 60 days’ prior notice.

4. Web Hosting, Domains & Data

4.1 Acceptable Use

You agree not to host or distribute illegal content, fraudulent material, or defamatory/harmful content.

4.2 Data Responsibility

You are fully responsible for your website content, data stored on our systems, and maintaining your own backups.

4.3 Backup Services (Add-On)

Backup services may be offered as a paid add-on. Even when enabled, we do not guarantee full data recovery and are not liable for data loss due to server failures, cyberattacks, or human error.

4.4 Domain Names

If we register/manage a domain, you remain responsible for renewal payments. We are not liable for domain loss due to missed renewals.

5. Performance & Liability

5.1 Performance Disclaimer

We apply proven strategies and best practices, but we do not guarantee a #1 position on Google or any search engine.

5.2 Limitation of Liability

Our total liability is limited to the total fees paid by you in the 3 months prior to the claim. We are not liable for indirect losses, loss of revenue, business interruptions, or loss of data.

5.3 Indemnification (Mutual Protection)

We will defend you against claims arising from our proprietary tools. You agree to defend and indemnify us against claims arising from your content, misuse of services, or legal violations.

6. Use of Our Website & Platform

6.1 Account Responsibility

You are responsible for maintaining confidentiality of login credentials and all activities under your account.

6.2 Acceptable Use

You agree NOT to use the platform for illegal purposes, attempt unauthorized access, distribute malware, or collect/misuse other users’ data.

6.3 Platform Changes & Downtime

We may modify or remove features at any time. Temporary downtime may occur due to maintenance or infrastructure issues, and we are not liable for such interruptions.

7. Termination

Either party may terminate the agreement as per terms defined in the SOW. Upon termination, outstanding payments become immediately due and active services may be suspended.

8. Governing Law

These Terms shall be governed by and interpreted in accordance with applicable laws of the jurisdiction agreed upon in the SOW or primary business location.

9. Updates to Terms

We may update these Terms periodically. Continued use of our services implies acceptance of the updated Terms.
